PERMITIFY, INC. — TERMS OF SERVICE

1. Acceptance of Terms

By creating an account, accessing the Service, or paying for access (including beta or discounted programs), you agree to these Terms and to the Permitify Privacy Policy. If you do not agree, do not use the Service.

"Service" refers to all Permitify software, data, analysis tools, AI features, documentation, and websites.

2. The Service

Permitify is a per-engagement civil engineering plan review service. The Customer uploads site civil plans and project context, and Provider combines AI-assisted constraint extraction with review by qualified independent contractors to produce a written report identifying potential code and ordinance compliance considerations. The review is advisory only and is not a substitute for stamped engineering or the professional judgment of a licensed engineer of record. Final professional responsibility for the project rests with Customer.

3. Customer Responsibilities

You agree to:

• Provide accurate account and billing information
• Maintain confidentiality of your credentials
• Use the Service only for lawful business purposes
• Independently verify all outputs
• Comply with all applicable laws and regulations
• Ensure your use does not overload or abuse the system

You are responsible for all actions taken through your account.

4. Authorized Users & Use Limitations

Each plan review is associated with the Customer who placed the order. Access to deliverables is granted via a per-order link sent to the email Customer provided at intake. Customer may share the deliverables internally with its employees, contractors, and the engineer of record working on the same project, but may not resell, redistribute, or republish the deliverables as a separate product or service. Provider may suspend or refuse service in cases of suspected resale or abuse.

5. Subscription & Billing

• Subscription Period: Not applicable. Each plan review is a separate one-time engagement.
• Cloud Service Fees: Customer pays a one-time fee per plan review at the time of order, per Provider's published rates. Provider may update pricing prospectively at any time; the price in effect at the time of order applies to that order.
• Payment Process: One-time payment at order. Customer pays via Stripe Payment Link. No recurring or automatic charges occur.
• Non-Renewal Notice Period: Not applicable.

6. Term, Termination, and Suspension

6.1 Termination by Permitify

Permitify may suspend or terminate your access at any time, with or without cause, including for:

• Nonpayment
• Abuse or misuse
• Security or compliance concerns
• Excessive resource consumption
• Discontinuation of features or beta programs

6.2 Termination by You

You may stop using the Service at any time. Fees already paid are nonrefundable.

6.3 Effect of Termination

Upon termination:

• Access ends immediately
• Data retention follows the Privacy Policy
• Certain sections of these Terms survive (see Section 13)

7. Intellectual Property

Permitify owns all IP related to the Service, including:

• Software, data models, algorithms
• Feasibility and zoning analysis frameworks
• UI/UX design
• Generated insights and outputs

Your Content

You retain ownership of documents, plans, and files you upload.

You grant Permitify a license to use your content to:

• Provide and operate the Service
• Improve features and models
• Train internal AI systems
• Ensure security and compliance
• As described in the Privacy Policy.

Output Usage

You may use outputs internally for your business.

You may not do the following without written permission from Permitify:

• Resell or redistribute outputs
• Use outputs to train competing models
• Publish outputs publicly

8. Beta and Experimental Features

Beta features are provided "as is" and:

• May be inaccurate or incomplete
• May break or change without notice
• May be removed at any time

You must independently verify all results.

9. High-Risk Use Restrictions

The Service is not intended for use where inaccuracies could lead to:

• Engineering or structural design failures
• Environmental or regulatory violations
• Safety hazards
• Financial losses or delays
• Legal noncompliance

Outputs are informational only and not legal, engineering, surveying, or planning advice.

10. Prohibited Conduct

You may not:

• Copy, scrape, extract, or reverse-engineer the Service
• Use the Service to build competing datasets or tools
• Sublicense or resell the Service
• Upload unlawful or unauthorized content
• Attempt to bypass security controls
• Interfere with system performance

11. Indemnification

You agree to indemnify and hold harmless Permitify, its officers, employees, contractors, and affiliates from claims, damages, losses, or liabilities arising out of:

• Your use of the Service
• Your uploaded content
• Your violation of law
• Your breach of these Terms

12. Disclaimers

To the fullest extent allowed by law:

• The Service is provided "as is" and "as available."
• Permitify disclaims all warranties, express or implied.
• Permitify does not guarantee accuracy, completeness, or reliability of any output.

13. Limitation of Liability

Maximum liability is the amount you paid in the preceding 12 months, or $100 if no fees were paid, whichever is greater.

Permitify is not liable for indirect, incidental, special, consequential, or punitive damages.

14. Export and Regulatory Compliance

You may not use the Service in violation of:

• U.S. export control laws
• Sanctions rules
• Local jurisdictional restrictions

15. Modifications to Terms

Permitify may update these Terms at any time. Material updates will be communicated by email or in-app notice. Continued use constitutes acceptance.

16. Assignment

Permitify may assign these Terms as part of a merger, acquisition, or sale.

You may not assign these Terms without Permitify's consent.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Permitify.

18. Severability

If any section is invalid, the rest remain in effect.

19. Survival

The following sections survive termination:

• Intellectual property
• Disclaimers
• Indemnification
• Limitations of liability
• Prohibited use
• Assignment

20. Governing Law

These Terms are governed by the laws of Utah, without regard to conflict-of-law principles.
