Welcome to Permitify!

These Terms of Service ("Terms") govern your access to and use of the Permitify platform, website, applications, tools, and services (collectively, the "Services"). Please read them carefully.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use Permitify.

1. Eligibility

We may suspend or terminate your account if we believe it violates these Terms or otherwise creates risk for Permitify or other users.

You may use Permitify only in compliance with applicable laws and these Terms.

You agree not to:

• Reverse engineer, decompile, or otherwise attempt to derive the source code of our Services.
• Use the Services to violate applicable laws or regulations.
• Upload or transmit any viruses, malware, or harmful code.
• Access or use the Services in a way that could impair their functionality or disrupt others' use.

We reserve the right to suspend or terminate your access if you engage in prohibited activities.

4. Intellectual Property

Permitify and its original content, features, and functionality are owned by Subtract Inc. and are protected by copyright, trademark, and other laws.

You may not use our brand, logo, or proprietary information without our written permission.

5. User Content

If you upload, submit, or otherwise share content through Permitify ("User Content"), you retain ownership of it. However, you grant Permitify a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display your User Content solely to operate, develop, and improve our Services.

You are responsible for ensuring that your User Content does not violate any laws or rights of others.

6. Data Practices

Permitify may collect and use data generated through your use of the Services, including technical information, project data, and user activity, in accordance with our Privacy Policy.

Aggregated and anonymized data may be used to improve our Services and for research or benchmarking purposes.

7. Third-Party Services

The Services may integrate or link to third-party services. We are not responsible for the availability, content, or accuracy of third-party services.

Your interactions with third-party services are governed by their own terms and policies, not ours.

Permitify is provided "as is" and "as available" without warranties of any kind.

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Permitify does not guarantee that submissions, permits, or compliance reviews will be accepted by any regulatory authority.

9. Limitation of Liability

To the maximum extent permitted by law, Permitify and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claim related to the Services is limited to the amount you paid us (if any) in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Permitify, its affiliates, and their officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to Permitify at any time, with or without cause, with or without notice.

Upon termination, your right to use the Services will immediately cease. Certain sections of these Terms will survive termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the Services or by email. Continued use after changes take effect constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
